RichChat Terms of Service

Effective Date: 1 March 2025

1. Introduction

Welcome to RichChat, a messaging service provided by Melrose Labs Ltd (“Melrose Labs,” “we,” “our,” or “us”). By installing or using our applications, services, or website (collectively, “Services”), you agree to these Terms of Service (“Terms”) unless a RichChat Commercial Agreement has been entered into. If you do not agree to these Terms, please do not use our Services.

2. Eligibility

  • Minimum Age: You must be at least 16 years old to use our Services. The minimum age may be higher in your country without parental approval.

3. Account Registration

  • Phone Number/Email Registration: To create an account, register using your phone number, email address, and/or other identifier. You agree to receive text messages and phone calls (from us or our third-party providers) with verification codes to register for our Services.

4. Privacy

  • Data Protection: We prioritise your privacy and do not sell, rent, or monetise your personal data or content in any way. For details on how we handle your information, please refer to our Privacy Policy.

5. Software Updates

  • Consent to Updates: To enable new features and enhanced functionality, you consent to downloading and installing updates to our Services.

6. Fees and Taxes

  • Responsibility: You are responsible for any data and mobile carrier fees and taxes associated with the devices on which you use our Services.

7. Acceptable Use

  • Legal Use: You agree to use our Services only for lawful, authorised, and acceptable purposes. You will not use (or assist others in using) our Services in ways that violate or infringe the rights of Melrose Labs, our users, or others, including privacy, publicity, intellectual property, or other proprietary rights.
  • Prohibited Activities: You will not engage in activities such as sending bulk messages, auto-messaging, auto-dialling, or any other unauthorised communications.

8. Harm to RichChat

  • Unauthorised Access: You must not (or assist others to) access, use, modify, distribute, transfer, or exploit our Services in unauthorised manners or in ways that harm RichChat, our Services, or systems. This includes attempting to gain unauthorised access to our Services or systems, disrupting the integrity or performance of our Services, creating accounts through unauthorised or automated means, collecting information about our users in an unauthorised manner, or selling, renting, or charging for our Services.

9. Account Security

  • Your Responsibility: You are responsible for keeping your device and your RichChat account safe and secure. If you lose your phone, follow the steps on our Support site to re-register for our Services. When you register with a new device, your old device will stop receiving all messages and calls.

10. No Access to Emergency Services

  • Limitation: Our Services do not provide access to emergency service providers like the police, fire services, hospitals, or other public safety organisations. Ensure you can contact emergency service providers through a mobile, fixed-line telephone, or other service.

11. Third-Party Services

  • Interactions: Our Services may allow you to access, use, or interact with third-party websites, apps, content, and other products and services. When you use third-party services, their terms and privacy policies govern your use of those services.

12. Intellectual Property Rights

  • Your Rights: You own the information you submit through our Services. You must have the rights to the phone number you use to sign up for your RichChat account.
  • Our Rights: We own all copyrights, trademarks, domains, logos, trade dress, trade secrets, patents, and other intellectual property rights associated with our Services. 13. Disclaimers and Limitation of Liability

  • Service Availability: Our Services are provided “as is” and “as available” without warranties of any kind. We do not warrant that the Services will be uninterrupted, error-free, or secure.
  • Limitation: To the fullest extent permitted by law, Melrose Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your use or inability to use the Services; (b) any unauthorised access to or use of our Services; or (c) any other matter relating to our Services.

14. Modifications

  • Changes to Terms: We may modify these Terms or our Services at any time. We will provide notice of changes as appropriate, such as by updating the “Effective Date” at the top of these Terms. Your continued use of our Services confirms your acceptance of our Terms as modified. If you do not agree to the revised Terms, you should stop using our Services.

15. Termination

  • Right to Terminate: We may suspend or terminate your access to our Services if you violate these Terms or if we are required to do so to comply with legal requirements. Upon termination, your right to use our Services will cease immediately.

16. Governing Law

  • Jurisdiction: These Terms are governed by the laws of the United Kingdom, and any disputes arising out of or relating to these Terms or our Services will be resolved exclusively in the courts of the United Kingdom.
